Terms & Condition of Sales & Website Material Usage

PRIVACY: Information collected through your registration will be used exclusively by Alpha Products,Inc. We do not sell, loan or divulge customer information. CONDITIONS OF SALE GENERAL: Any terms or provisions of Buyer's order which are inconsistent with our terms and coditions shall not be binding on Seller and shall not be considered applicable to any sale made pursuant to any quotation. Unless Seller specifically agrees in writing, (1) Seller will not make any change whatsoever in its usual quality control procedures to comply with any quality control requirement of Buyer or its customers, and (2) Seller will not furnish any data, drawing, prints or the like whatsoever to Buyer or its customers. No waiver, alterations or modifications of any provisions of this document shall be binding unless in writing and signed by an officer or of the Seller. WARRANTY : Seller warrants that goods and services furnished hereunder will be in full conformity with Seller's specifications, drawings, samples or data (or those of Buyer accepted by Seller in writing) and will be free from defects in material and workmanship. Seller expressly disclaims any and all other or additional warranties (except of title), express or implied, relating to fitness for particular purpose, merchantable quality, or otherwise. Seller will in no case be responsible for special or consequential damages, including but not limited to, cost of removal of goods from or reinstallation in equipment; Seller's liability being limited to the repair or replacement of defective goods. DELIVERY : Shipping dates are approximate and are based upon prompt receipt of all necessary information. Seller shall not be liable for delay in delivery due to causes beyond its reasonable control such as acts of God, acts of the Buyer, Plant shut down, Holidays, acts of civil or military authority, priority, fires, strikes, floods, epidemics, quarantine restrictions, war, riots and delays in transportation. In the event of delay due to such causes, the date of delivery shall be extended for a period equal to the time lost by reason of delay. PRICES: Seller reserves the right to invoice items scheduled to be shipped on any order more than six months from the order entry date at prices prevailing at the time of shipment. Prices shown herein are not in excess of the maximum prices permitted under applicable government regulations and are not subject to price redetermination. Price changes due to currency, energy, or other variation may occur at any time. QUANTITIES: Seller reserves the right to over- or undership the quantities shown on any quotation by 5% for components and by 10% for cable and wire products, where manufacturing processes make it difficult or economically impossible to provide the exact quantity specified. TERMS OF PAYMENT: All goods are shipped F.O.B. shipping point and risk of loss or damage to goods in transit shall fall exclusively upon Buyer. Export or packing charges are extra and will be charged to Buyer by Seller. If, in the judgment of Seller, the financial condition of Buyer at any time does not justify continuance of production or shipment on the terms of payment specified, Seller may require full or partial payment in advance. Pro rata payments shall become due as shipments are made. If shipments are delayed by Buyer, payments shall become due from date when Seller is prepared to make shipment. If manufacture is delayed by Buyer, payment shall be based on contract price and percentage of completion. Goods held for Buyer shall be at risk and expense of Buyer. All bank and collections charges are for Buyer's account. TAXES: Unless otherwise stated, Seller's prices do not include sales, use, excise or future sales, use, excise or similar tax applicable to sale of products. Any such tax shall be paid by Buyer, or in lieu thereof, Buyer shall provide Seller with a tax exemption certificate acceptable to the taxing authorities. TERMINATION AND RETURNS : All products are made to order after receipt of customer order. Orders accepted by Alpha Products,Inc are Not-Cancellable or Returnable , Seller reserves the right to fabricate the entire quantity ordered in one production run, although shipments may be made in partial quantities in accordance with the Buyer's requested schedule. In the event of cancellation of such orders, any components, sub-assemblies, and/or finished assemblies on hand in quantities equivalent to the full production run for the entire quantity plus normal overrun shall be considered as part of applicable cancellation charges. Buyer may cancel order only upon prior acceptance of such cancellation by Alpha Products, Inc. and payment in full of cancellation charges which shall take into account expenses incurred and commitments made by Seller. Returns will not be accepted unless authorized by Seller in advance of receipt of parts.. Authorization shall not be unreasonably withheld. All products manufactured to Buyer's specifications or special requirements are not subject to return. Seller is shall not obilgated in any way to find alternative customers for parts cancelled. TOOLING : All tools required to produce products covered by a quotation are to remain the property of Seller. Custom tooling repair, modifcation or refurbishment and set up charges will be to buyers account. USE OF DATA: Any specifications, drawings, technical information or other data furnished by Seller to Buyer shall remain Seller's property, shall be kept confidential by Buyer and shall be returned at Seller's request. Website or other information made available to the customer will under no circumstances be downloaded, copied, distributed or altered in any manner by the recepient without prior written conformation signed by an officer of Alpha Products,Inc. CLAIMS: All product or shipment claims must be made within 30 days of receipt of goods by customer. No claim for special / consequential damages will be considered. NOTE TO PURCHASER: All statements, technical information and recommendations contained herein are based on tests we believed to be reliable, but the accuracy or completeness thereof is not guaranteed and the following is made in lieu of all warranties, expressed or implied. Seller's and manufacturer's only obligation shall be to replace such quantity of the product proved to be defective. Neither Seller nor Manufacturer shall be liable for any injury, loss or damage, direct or consequential, arising out of the use of or inability to use our products. Before using, user shall determine the suitability of the product for the intended use, and user assumes all risks and liability whatsoever in connection herewith.
